Seller Agreement

1. Introduction
This Seller Agreement ("Agreement") is entered into between you ("Seller" or "you") and Naqiro ("Naqiro," "we," or "us"). By registering as a seller on our platform, you agree to be bound by this Agreement.
2. Eligibility
To become a seller on Naqiro, you must:
- Be at least 18 years of age or the age of majority in your jurisdiction
- Have the legal authority to enter into this Agreement
- Comply with all applicable laws and regulations
- Sell only halal-certified products or products that comply with halal standards
3. Account Registration and Verification
3.1 Registration
You must provide accurate and complete information during registration, including your business name, contact information, and banking details for payment processing.
3.2 Verification
All seller accounts are subject to verification and approval by Naqiro. We reserve the right to request additional documentation to verify your identity and business legitimacy.
4. Halal Certification Requirements
4.1 Product Compliance
All products listed on Naqiro must either be halal-certified by a recognized certification body or comply with halal standards. You are responsible for maintaining valid halal certifications and providing proof upon request.
4.2 Certification Documentation
You agree to upload and maintain current halal certification documents for your products. Expired certifications must be renewed within 30 days.
5. Product Listings
5.1 Listing Requirements
Product listings must include:
- Accurate product descriptions
- Clear, high-quality product images
- Correct pricing in your local currency
- Accurate stock availability
- Halal certification status and details
5.2 Prohibited Products
You may not list products that:
- Are not halal or do not comply with halal standards
- Violate any laws or regulations
- Infringe on intellectual property rights
- Are counterfeit or unauthorized
- Are dangerous or prohibited for sale
6. Pricing and Payments
6.1 Product Pricing
You are responsible for setting your product prices. Prices must be clearly displayed in your local currency and include all applicable taxes.
6.2 Commission Structure
Naqiro charges a commission on each sale. The current commission rate is 10% of the product subtotal plus shipping (excluding VAT/taxes). Platform fees are non-refundable.
Commission calculation: Commission = (Product Price + Shipping Price) × Commission Rate. VAT/taxes are excluded from the commission base.
6.3 Payment Processing
Payments are processed through Stripe Connect. You must connect your Stripe account to receive payments. When a customer places an order:
- Payment is authorized but not captured immediately
- Once you ship the order, the payment is captured
- The commission fee and Stripe processing fees are automatically deducted
- The remaining amount is deposited to your Stripe account
6.4 Payment Authorization
Payment authorizations are valid for 7 days. You must ship the order within this period, or the authorization will expire and be released to the customer.
7. Order Fulfillment
7.1 Processing Time
You must process and ship orders within 3 business days unless you specify a different processing time in your store settings.
7.2 Shipping
You are responsible for shipping products to customers. You must:
- Set accurate shipping rates based on weight and destination
- Package products securely to prevent damage
- Provide tracking information when available
- Ship only to countries you have specified in your shipping settings
7.3 Shipping Restrictions
You must comply with all international shipping regulations and restrictions. You are responsible for customs declarations and any duties or taxes.
8. Returns and Refunds
8.1 Return Policy
You must honor customer return requests in accordance with applicable consumer protection laws and our platform policies.
8.2 Refund Processing
When you issue a refund to a customer, you will receive a refund of the commission fee that was deducted from that transaction. However, platform fees are non-refundable. Stripe processing fees are also non-refundable.
9. Customer Service
You agree to:
- Respond to customer inquiries within 24 hours
- Provide accurate and helpful information
- Resolve customer complaints professionally
- Maintain high customer satisfaction ratings
10. Intellectual Property
10.1 Your Content
You retain ownership of all content you upload, including product descriptions, images, and store information. By uploading content, you grant Naqiro a license to use, display, and distribute your content on the platform.
10.2 Naqiro's Intellectual Property
All platform features, functionality, and branding are owned by Naqiro. You may not use our trademarks or branding without prior written permission.
11. Account Suspension and Termination
11.1 Suspension
We may suspend your account if:
- You violate this Agreement or our Terms of Service
- Your halal certifications expire or are invalid
- You receive excessive customer complaints
- You fail to fulfill orders or respond to customers
- We suspect fraudulent activity
11.2 Termination
Either party may terminate this Agreement at any time with 30 days' written notice. Upon termination, you must fulfill all pending orders.
12. Taxes
You are responsible for determining and paying all applicable taxes on your sales. Naqiro may collect and remit VAT/GST where required by law, but you remain ultimately responsible for tax compliance.
13. Liability and Indemnification
13.1 Your Liability
You are solely responsible for your products, including their safety, legality, and halal status. You accept all liability for product defects, injuries, or damages caused by your products.
13.2 Indemnification
You agree to indemnify and hold Naqiro harmless from any claims, damages, or expenses arising from your products, your conduct, or your breach of this Agreement.
14. Changes to This Agreement
We may modify this Agreement at any time. We will notify you of material changes at least 30 days in advance. Your continued use of the platform after such changes constitutes acceptance of the modified Agreement.
